SolarEdge Securities Settlement: Investors May Claim Part of $55 Million Fund

If you purchased or otherwise acquired SolarEdge Technologies Inc. common stock between Feb. 13, 2023, and Oct. 19, 2023, you may be eligible to receive a cash payment from a $55 million securities class action settlement.

The settlement resolves claims that SolarEdge and certain former executives allegedly made misleading statements or failed to disclose important information about channel inventory levels and product demand in Europe, which plaintiffs claim affected the value of SolarEdge stock.

Eligible investors must submit a claim form to receive a payment.

Why Did This Lawsuit Happen?

A securities class action lawsuit was filed against SolarEdge Technologies Inc. and certain former officers and executives.

The lawsuit alleged that the defendants violated federal securities laws by making material misrepresentations and omissions regarding:

  • SolarEdge product channel inventory levels
  • Product demand in Europe

Plaintiffs claimed these statements allegedly caused SolarEdge common stock to trade at artificially inflated prices and resulted in losses for investors when corrective information entered the market.

SolarEdge denied all allegations of wrongdoing. The company agreed to settle the case to avoid the costs, risks, and uncertainty of continued litigation.

Who Qualifies for the Settlement?

You may be eligible if you:

✔️ Purchased or otherwise acquired SolarEdge Technologies Inc. common stock
✔️ Purchased the stock between Feb. 13, 2023, and Oct. 19, 2023 (inclusive)
✔️ Were allegedly damaged as a result of those transactions

Both individual investors and entities may be included.

If you qualify, you must submit a valid claim form to receive a settlement payment.

How Much Can Investors Receive?

SolarEdge has agreed to pay:

$55,000,000 into a settlement fund

The amount each investor receives depends on several factors, including:

  • The number of valid claims submitted
  • When shares were purchased and sold
  • The investor’s recognized loss amount
  • Court-approved deductions from the settlement fund

The estimated average recovery is:

Approximately $2.06 per damaged share

After estimated deductions, the estimated average net recovery is:

Approximately $1.49 per damaged share

Actual payments may be higher or lower depending on individual claims and the total number of valid claims submitted.

Payments will be distributed on a pro rata basis according to the court-approved plan of allocation.

What Information Do I Need to File a Claim?

To submit a claim, investors may need to provide:

  • The last four digits of their Social Security number or full taxpayer identification number
  • Number of shares held as of the opening of trading on Feb. 13, 2023
  • Purchase, acquisition, and sale dates from Feb. 13, 2023, through Jan. 17, 2024
  • Number of shares purchased, acquired, or sold
  • Purchase, acquisition, or sale prices
  • Number of shares held as of the close of trading on Jan. 17, 2024

Investors should also provide supporting transaction documents, such as:

  • Broker confirmation slips
  • Broker account statements
  • Other records showing transaction dates, quantities, and prices

How to File a SolarEdge Settlement Claim?

To receive a payment, eligible investors must submit a claim form.

You can file:

  1. Online through the settlement website, or
  2. By downloading, completing, and mailing the claim form to the settlement administrator

Payments will be issued after the court grants final approval and any appeals are resolved.

Settlement Fund Breakdown

The $55 million settlement fund includes:

  • Notice and administration expenses: Up to $500,000
  • Attorneys’ fees: Up to $13,750,000
  • Attorneys’ expenses: Up to $750,000
  • Service awards to plaintiffs: Up to $230,000 total
  • Payments to eligible class members: Remaining funds
